Case Study:═ Equity Placements═
CentreInvest played an integral role in arranging the issuance of American
Depository Receipts (ADRs) for the large Russian oil company Tatneft.═ CentreInvest
served as co-manager of the syndicate led by Dresdner Kleinwort Benson,
which placed 11.5% of Tatneft stock for a total of $122 million.═ This initiative
represented the culmination of two years of close co-ordination with Tatneft,
planning its international stock market entry strategy.═ CentreInvest continues
to act as the leading market-maker for Tatneft shares both on domestic
markets and in relation to its ADR program.═
CentreInvest led the placement of a $40 million new equity issue for
a leading Russian manufacturing company which had previously undertaken
a major restructuring program.═ Similar mandates have recently been given
to CentreInvest by several companies in the manufacturing, shipping and
energy sectors.═
CentreInvest served as a strategic advisor on privatisation issues,
and assisted three leading Russian oil companies in selling their shares
through auctions and investment tenders to domestic and international investors,
raising in excess of $300 million.═ At a later stage of the privatisation
program, we worked with the companies to increase their market value by
promoting the highest level of disclosure in order to create a more open
dialogue with potential investors.═

Case Study:═ International Debt Financing═
In 1997, CentreInvest was engaged as advisor to the Sakha-Yakutia Ministry
of Finance to arrange a $50 million loan from the international capital
and loan syndication markets.═
CentreInvest Corporate Finance structured this financing, and assisted
the Ministry of Finance in arranging a bridge loan and a syndicated loan
from a consortium of international banks. Similarly, CentreInvest Corporate
Finance served as an advisor to a gas company operating in the republics
of the former Soviet Union in arranging an $80 million loan facility, secured
against proceeds from long-term gas supply contracts.═

in some of the newly privatised Russian oil companies, our client asked
us to prepare a detailed review and analysis of its options.═ Our review
covered the legal framework for foreign investment, profiled possible targets
