Case Study:═ Restructuring Yuganskneftegas
CentreInvest has worked for Yuganskneftegas since its incorporation
as a Joint Stock Company in 1992.═ During this period, we have worked with
senior management to help transform Yuganskneftegas▓ outdated structure,
systems and management processes into an efficient, coherent organization.═
As one of the first major enterprises to be privatized, Yuganskneftegas
was a pioneer in converting itself from being a centrally directed Production
Association into an autonomous JSC.═ The first major challenge was to strengthen
functions and processes either missing under central planning (shareholder
relations, corporate governance) or needing substantial upgrading (finance,
marketing, economics).═ CentreInvest provided multi-disciplinary support
to Yuganskneftegas to fulfill this challenge, including drafting corporate
charters, establishing share registration systems and developing new management
processes.═ CentreInvest has installed a comprehensive Management and Financial
Information System, providing management with improved control over expenditure
and the ability to systematically analyze unit performance and asset profitability.═
Facing a severe tax system, Yuganskneftegas needed to rationalize its
structure to reduce costs and taxes and to improve operational performance.═
Through a phase by phase restructuring program over the past five years,
CentreInvest has helped Yuganskneftegas slash its costs and tax liabilities
while significantly streamlining its organizational and decision making
structure.═ Work is continuing on divesting Yuganskneftegas of its non-core
assets, integrating it into YUKOS and improving key operational processes.═
Case Study:═ Biryusa Refrigerator Plant
In 1994, the Biryusa Refrigerator Plant, one of Russia's best known
▒white goods▓ manufacturers was selected for restructuring as part of a
European Union Tacis funded program.═ Based in Krasnoyarsk, Biryusa faced
major challenges in responding to rising transport tariffs to its principal
markets and increasing competition from imports.═ Converting its technology
to use environmentally acceptable, non-CFC based refrigerants was another
task.═
As part of an international consortium, CentreInvest conducted a multi-disciplinary
review of Biryusa▓s operations.═ Our analysis indicated that substantial
financial improvement could be achieved through tighter control over working
capital and through reducing WIP.═ Improving Biryusa▓s marketing and distribution
systems was essential and CentreInvest helped establish a marketing department
and subsequently developed a new distribution and promotional strategy.═
CentreInvest was retained by Biryusa on completion of the Tacis funded
study to assist it in preparing a financing plan for completion of its
new ozone friendly manufacturing line.═
Case Study:═ State Property Fund of the
Ukraine
CentreInvest was sub-contracted by Booz ╥Allen & Hamilton to prepare
a new organizational structure for the Ukrainian State Property Fund.═ Charged
with developing a mass privatization strategy and implementing a voucher
distribution system, the State Property Fund had expanded its functions
and personnel substantially since its establishment.═ Growth had been organic
with tasks and responsibilities scattered throughout its structure, meaning
internal communications and co-ordination were disorganized.═
Faced with a change in emphasis from mass privatization to selective
privatization, the State Property Fund decided to restructure itself and
to implement a new computerized Management Information System.═ CentreInvest▓s
role was to develop a more efficient structure aligned in accordance with
the new strategy.═ After over 70 detailed interviews with senior and line
managers, CentreInvest mapped all the major linkages and inefficiencies
reported by them.═ Analysis of these conclusions led to the development
of three alternative structural variants for senior management review.═
Based on our recommendations, one of the more wide-ranging structural revisions
has been selected for implementation.═ |
